Terms of Service

1. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

2. Eligibility and Accounts

You must be at least 18 years old to use the Platform. By creating an account, you represent that you are at least 18 and that the information you provide is accurate and complete.

Accounts are created through Google Single Sign-On (SSO). You are responsible for maintaining the security of your Google account and for all activity that occurs under your Zinovi account. You must notify us immediately if you suspect unauthorized access.

You may only maintain one account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. The Zinovi Marketplace

Zinovi is a three-sided marketplace that connects:

• Place Owners — Salon and studio owners who list spaces (chairs, suites, rooms) for rent
• Artists — Beauty professionals (hairstylists, estheticians, nail technicians, makeup artists, etc.) who rent spaces to operate their businesses and offer services to clients
• Clients — Individuals who discover and book beauty services from artists

Zinovi provides the technology platform to facilitate these connections. We are not a party to the rental agreements between place owners and artists, nor to the service agreements between artists and clients. We do not own, operate, or manage any salon, studio, or beauty service.

4. Place Owner Responsibilities

As a place owner, you agree to:

• Provide accurate and up-to-date information about your spaces, including photos, pricing, amenities, and availability
• Maintain your spaces in a safe, clean, and professional condition
• Comply with all applicable local, state, and federal laws, including business licensing, health and safety codes, zoning regulations, and tax obligations
• Honor confirmed bookings and rental agreements
• Respond to booking requests and messages in a timely manner
• Maintain appropriate insurance coverage for your property
• Not discriminate against artists or clients on the basis of race, color, religion, national origin, sex, sexual orientation, gender identity, disability, or any other protected characteristic

5. Artist Responsibilities

As an artist, you agree to:

• Hold all required professional licenses and certifications for the services you offer
• Provide accurate descriptions of your services and pricing
• Comply with the terms of your rental agreements with place owners
• Make payments on time as specified in your rental contracts
• Maintain professional standards and treat spaces with care
• Carry appropriate professional liability insurance
• Comply with all applicable laws and health regulations
• Not discriminate against clients on the basis of any protected characteristic

6. Client Responsibilities

As a client, you agree to:

• Provide accurate information when booking services
• Arrive on time for scheduled appointments
• Make payments as required at the time of booking
• Adhere to the cancellation and rescheduling policies set by individual artists
• Treat artists and their spaces with respect
• Provide honest and fair reviews based on your actual experience

7. Payments and Fees

All payments on the Platform are processed through Stripe. By making or receiving payments, you agree to Stripe's Terms of Service.

Platform Fee

Zinovi charges a platform fee of $0.99 per transaction, plus applicable payment processing fees charged by Stripe. This fee applies to rental payments and service bookings processed through the Platform.

Payouts

Place owners and artists receiving payments must connect a Stripe account to receive payouts. Payout timing and availability are subject to Stripe's policies. Zinovi is not responsible for delays caused by Stripe or your financial institution.

Taxes

You are solely responsible for determining and paying any taxes that apply to your income or transactions on the Platform. Zinovi does not provide tax advice and is not responsible for your tax obligations.

Refunds and Disputes

Refund policies for services are set by individual artists. Rental payment disputes should first be resolved directly between the parties. If resolution cannot be reached, either party may contact Zinovi at partners@zinovi.xyz for assistance, though Zinovi is not obligated to mediate or arbitrate disputes.

8. Rental Agreements and Contracts

The Platform facilitates rental contracts between place owners and artists. These contracts define the terms of the rental arrangement, including duration, pricing, payment schedule, and any specific rules for the space.

Zinovi provides tools to create and manage these contracts but is not a party to them. The contractual relationship is between the place owner and the artist. Both parties are responsible for fulfilling their obligations under the contract.

Zinovi does not guarantee the availability, quality, or legality of any listed space. Place owners and artists should conduct their own due diligence before entering into a rental agreement.

9. User Content

You retain ownership of all content you submit to the Platform, including photos, text, reviews, messages, and profile information ("User Content"). By posting User Content, you grant Zinovi a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Platform.

You represent and warrant that:

• You own or have the right to use all User Content you submit
• Your User Content does not infringe the intellectual property or other rights of any third party
• Your User Content is accurate and not misleading
• Your User Content complies with these Terms and applicable law

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise objectionable.

10. Prohibited Conduct

You may not use the Platform to:

• Violate any applicable law or regulation
• Post false, misleading, or fraudulent listings, reviews, or content
• Harass, threaten, or intimidate other users
• Impersonate another person or entity
• Circumvent the Platform's payment system to avoid fees
• Scrape, crawl, or use automated means to access the Platform without our written permission
• Upload malware, viruses, or other harmful code
• Interfere with the proper functioning of the Platform
• Create multiple accounts or accounts for the purpose of manipulation
• Use the Platform for any illegal activity, including money laundering
• Post content that is sexually explicit, violent, or promotes discrimination
• Solicit users to transact outside of the Platform to avoid fees

Violation of these rules may result in immediate account suspension or termination, at our sole discretion.

11. Intellectual Property

The Zinovi name, logo, branding, design elements, and all platform software, code, and documentation are the property of Zinovi, Co. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law, Zinovi and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Platform.

Zinovi's total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the total fees you paid to Zinovi in the twelve months preceding the claim, or (b) one hundred dollars ($100).

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

Zinovi is not responsible for the actions, content, or conduct of any user. We do not guarantee the quality, safety, or legality of listed spaces or services, the truth or accuracy of listings or reviews, or the ability of users to complete transactions.

13. Indemnification

You agree to indemnify, defend, and hold harmless Zinovi, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of another person or entity.

14. Dispute Resolution

If you have a dispute with Zinovi, we encourage you to first contact us at partners@zinovi.xyz so we can attempt to resolve it informally.

If a dispute cannot be resolved informally within 30 days, you and Zinovi agree to resolve it through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Hamilton County, Ohio. The arbitrator's decision will be final and binding.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding. You waive the right to participate in a class action lawsuit or class-wide arbitration.

Disputes between place owners and artists, or between artists and clients, are between those parties. Zinovi may, at its discretion, offer assistance but is not obligated to resolve user-to-user disputes.

15. Termination

You may close your account at any time by contacting us at partners@zinovi.xyz. Closing your account does not release you from any obligations incurred prior to closure, including outstanding payments or active rental contracts.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if your continued use poses a risk to the Platform or other users.

Upon termination, your right to access the Platform ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and dispute resolution.

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date and may notify you through the Platform or by email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Hamilton County, Ohio.
